TERMS AND CONDITIONS FOR USE OF OPTIONS INDUSTRY CONFERENCE WEBSITE

OPTIONS INDUSTRY CONFERENCE WEBSITE USERS MUST READ THESE TERMS AND CONDITIONS OF USE PRIOR TO THEIR USE OF THIS WEBSITE.

A user’s continuing access or use of the Options Industry Conference (“OIC”) World Wide Website ("Website") hosted by The Options Clearing Corporation (“OCC”) and Chicago Board Options Exchange, Incorporated (“CBOE”) signifies the USER’S ACCEPTANCE OF THESE TERMS AND CONDITIONS FOR USE OF THE WEBSITE ("Terms"). From time to time, the OCC and CBOE reserve all rights to modify the Terms of the Website. Accordingly, a user should continue to review the Terms whenever accessing or using the Website. A user’s access or use of the Website after the posting of modifications to these Terms will constitute such user’s acceptance of the Terms, as modified. If a user refuses to accept the Terms, such user may not use the Website. Any terms and conditions proposed by a user which are in addition to or which conflict with these Terms are expressly rejected by OCC and CBOE and shall be of no force or effect.

  1. CONSENT TO TERMS AND CONDITIONS FOR USE. You, as a Website user, represent that you have read, understand, and agree to be bound by the Terms for the Website. You also agree (a) that your use of the Website is subject to all applicable international, federal, state, and local laws, (b) not to use the Website for illegal purposes, and (c) not to interfere with or disrupt the Website or networks connected to the Website.
  2. COPYRIGHTS, TRADEMARKS, SERVICE MARKS, AND PROPRIETARY RIGHTS.   4. DISCLAIMERS. Although the contents provided on the Website have been obtained from sources believed to be reliable, they are provided to you on an "AS IS" basis. CBOE makes no warranties, expressed, implied, or statutory including, but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, timeliness, completeness, or non-infringement to users and/or any third party.     OCC and CBOE may also receive information about your session or about you when IP addresses are logged to track a user’s session (the user remains anonymous). We may use it for research, regulatory purposes, or to improve our site. In general IP addresses are logged to track a user’s session while the user remains anonymous. This data is analyzed for certain trends and statistics, such as which parts of our site users are visiting and how long they spend there, as an example.

    Any username or password assigned to you for your personal use only. You are responsible if they are lost, stolen or misused, and you must notify OCC and/or CBOE immediately if any of these events happen. You may not use any contact or similar feature to enter an order to buy or sell a security, to send us time-sensitive instructions, or to give us personal credit information or an address change.

    OCC and CBOE have taken certain steps to provide a secure environment for your personal information on this Website. However, OCC and CBOE cannot guarantee that any information is totally secure because of the nature of the Internet. If you choose to update or delete personal information previously provided, OCC and/or CBOE will endeavor to correct, update or remove the personal information from our database. OCC and CBOE assume no responsibility for any errors or omissions in the Website information.   8. REPRESENTATIONS.   9. INDEMNIFICATION. CBOE’s cooperation in such defense is made without waiver of any attorney-client, work-product, or other legal privileges. You agree to be responsible and liable for any and all costs, damages and expenses, including, but not limited to, reasonable attorneys’ fees and costs awarded against or otherwise incurred by or in connection with or arising from any such claim, suit, action or proceeding attributable to any such claim.
  10. TERMINATION. Either you, OCC or CBOE may terminate the Terms with or without cause at any time and effective immediately. You may terminate the Terms by discontinuing the use of the Website and destroying all materials obtained from the Website. These Terms will terminate immediately without notice from OCC or CBOE if OCC or CBOE determines that you have failed to comply with any provision of these Terms. OCC and CBOE reserve the right to seek all remedies available at law and in equity for your violation of these Terms. Upon termination by you or upon notice of termination by OCC or CBOE, you must destroy promptly all Materials obtained from the Website. Sections two through nine (2 - 9) and eleven through thirteen (11 - 13) shall survive any termination of the Terms.
  11. GOVERNING LAW. The Terms shall be governed and construed in accordance with the laws of the United States and the State of Illinois, without giving effect to conflicts of law principles thereof. You agree to submit to the personal jurisdiction of the state and federal courts located in Cook County in the State of Illinois with respect to any legal proceedings that may arise in connection with the Website or from a dispute as to the interpretation or breach of the Terms.
  12. SEVERABILITY. If any provision of the Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in force.
  13. ENTIRE AGREEMENT. The Terms and any other OCC or CBOE terms and conditions for use of the Website, and its successor Websites, constitute the entire agreement between you, OCC and CBOE and govern your use of the Website.
